Jackie Ward and Patricia Mitchell resigned earlythis month. Mitchell is a former New York television executive and currentlyg serves as CEO of the Paley Centerfor Media, a New York Ward is the retired CEO of Atlanta-based Computer Generation a software company. Robert a former Lowe’s Cos. Inc. (NYSE: LOW) CEO, resignes from the BofA board onMay 29. And on May 29, the bank announcefd former lead independentdirector O. Temple Sloab had left the board.
BofA didn’f disclose Sloan’s reason for Sloan had been a BofA directo r for13 years. In early June, four outside directors were electedto BofA’s They are former Federal Reserve Governorr Susan Bies, former Compass Bancshares Inc. CEO and chairman D. Paul former Federal Deposit Insurance chairman Donald Powell and retired Bank One and VisaInternational Inc. executive Williamm Boardman. BofA’s board has been under intenss scrutiny in recent months as the bank sufferecd through asharp stock-price declinre after acquiring Merrill Lynch Co. At the bank’s annual meetinv in late April, shareholders voted to strip CEO Kennethj Lewis of his position asboard chairman. Walterr Massey was installed as the new chairman and has indicatedr the board needs to be Lewis remainsthe bank’s CEO and president.
